Draft, pending legal review. This document describes the intended terms for the InPlan hosted service and is provided for transparency. It is not legal advice and is not final until reviewed by counsel.
These Terms of Service ("Terms") govern your access to and use of the hosted InPlan service at inplan.ai (the "Service"), operated by CrazyIdeaStudio, Inc. ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
InPlan is a Markdown workspace for Planning-Driven Development: you and an AI coding agent collaborate on planning documents. The Service includes hosted document storage, real-time collaboration, and an optional managed AI agent. The local editor and command-line tool are separate open-source software (see Section 9).
You must provide accurate account information and are responsible for activity under your account and for keeping your credentials secure. You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service. Organizations may have multiple members with roles (owner, editor, commenter, viewer); the organization owner is responsible for managing access.
You agree not to: (a) use the Service unlawfully or to infringe others' rights; (b) upload content you lack the right to use; (c) attempt to breach security, access other tenants' data, or disrupt the Service; (d) reverse engineer or resell the hosted Service except as permitted by a separate written agreement; or (e) use the managed agent to generate unlawful, harmful, or abusive content. We may suspend accounts that violate these Terms.
Paid plans (Pro and Team) are billed in advance on a recurring basis through our payment processor, Stripe, acting as a Merchant of Record where applicable. By subscribing you authorize recurring charges until you cancel. Team is billed per active member. Fees are stated exclusive of taxes; applicable taxes are added at checkout. Subscriptions renew automatically; you may cancel at any time via the Customer Portal, effective at the end of the current billing period. Except where required by law, payments are non-refundable. We may change prices with reasonable notice for the next billing period.
You retain all ownership of the documents, plans, and other content you create or upload ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely to operate and improve the Service for you and your organization — including sending it to our AI subprocessor to produce agent responses (see Section 6 and our Privacy Policy). We do not sell Your Content and do not use it to train third-party foundation models.
When you use the managed agent, the relevant document content is processed by our AI provider to generate suggestions and edits. AI output may be inaccurate or incomplete; you are responsible for reviewing it before relying on it. The agent's suggestions are not professional advice. You own the agent's edits to Your Content as part of Your Content.
We strive for high availability but the Service is provided on an "as available" basis and may experience downtime, maintenance, or changes. We may modify or discontinue features with reasonable notice.
You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms or to comply with law. On account or document deletion, your data is removed in accordance with our Privacy Policy (deleted content is retained for up to 30 days, then permanently purged, absent a legal hold).
The InPlan editor and CLI are open-source under AGPL-3.0-or-later and are governed by their own license, not these Terms. A separate commercial license is available from us for proprietary or closed-source use. These Terms govern only the hosted Service and its proprietary components.
The Service, including the hosted software, branding, and "InPlan" name, is owned by us and protected by intellectual-property laws. These Terms grant you no rights in our trademarks.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You will indemnify and hold us harmless from claims arising out of Your Content or your violation of these Terms or applicable law, to the extent permitted by law.
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. The state and federal courts located in California will have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
We may update these Terms; material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
